1. Agreement to these terms

These Terms and Conditions (“Terms”) are a binding agreement between you and Ingenium Global (“Ingenium,” “we,” “us” or “our”) concerning your access to and use of ingenium.global and any pages, materials, forms or features made available through it (collectively, the “Website”).

By accessing or using the Website, you acknowledge that you have read, understood and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Website.

If you use the Website on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. You must be at least 18 years old, or the age of legal majority where you live, to submit an inquiry or otherwise use interactive Website features.

2. Website purpose and availability

The Website introduces Ingenium, describes our perspectives and services, and provides ways to contact us. Content is provided for general informational and business-development purposes. It may summarize complex subjects and is not intended to address every situation.

We may update, correct, suspend, restrict or discontinue any part of the Website at any time. We do not guarantee that the Website, a particular page or any content will always be available, uninterrupted, current or error-free. We may perform maintenance or make changes without prior notice.

3. Advisory services and engagement agreements

Ingenium provides services that may include executive assessment, executive coaching, leadership transitions, leadership development and training, board effectiveness, private-equity and hedge-fund advisory, and talent or HR-function redesign.

Services are undertaken only after Ingenium and the client enter into an applicable written proposal, statement of work, engagement letter, master services agreement or similar contract (an “Engagement Agreement”). Scope, deliverables, fees, timing, confidentiality, data handling, intellectual-property rights, warranties, liability and other service terms are governed by the Engagement Agreement.

If these Terms conflict with an Engagement Agreement concerning paid services, the Engagement Agreement controls for that engagement. Nothing on the Website obligates Ingenium to accept an engagement, provide a proposal or continue a discussion.

No relationship created by Website use

Accessing the Website, sending a message, requesting information, attending an introductory meeting or receiving general material does not create a client, consultant, coach, fiduciary, partnership, employment, agency or other professional relationship. Such a relationship begins only as stated in a signed Engagement Agreement.

Results and professional judgment

Leadership, organizational and investment-related outcomes depend on circumstances beyond Ingenium’s control, including decisions and implementation by clients and third parties. We do not guarantee a particular business, financial, leadership, hiring, promotion, succession, investment or organizational result. Testimonials, examples, case studies, statistics and past outcomes are illustrative and do not promise future results.

4. Important professional and investment disclaimers

No legal, tax, accounting or regulated professional advice

Website content is not legal, tax, accounting, medical, mental-health, employment-law or other regulated professional advice. Executive coaching and leadership-development content is not therapy, medical treatment or diagnosis. You should consult an appropriately qualified professional regarding your specific circumstances.

No investment recommendation or securities offer

Content relating to private equity, hedge funds, companies, markets, transactions or business performance is general information only. It is not an offer to sell or solicitation to buy a security, a recommendation to enter a transaction, personalized investment advice, research directed to a particular investor, or a guarantee of investment performance. You remain responsible for independent diligence and decisions with your legal, tax, accounting, investment and other advisors.

No reliance on Website content

You are responsible for evaluating the accuracy, completeness and usefulness of Website content before relying on it. Do not make a consequential leadership, employment, governance, transaction or investment decision solely on the basis of general Website material.

5. Acceptable use

You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate applicable law, regulation, court order or the rights of another person.
• Submit information that is unlawful, misleading, defamatory, infringing, malicious or that you do not have authority to disclose.
• Attempt to gain unauthorized access to the Website, connected systems, accounts or data.
• Introduce malware, harmful code, excessive requests or other material that could interfere with security, performance or availability.
• Impersonate another person or misrepresent your identity, authority, affiliation or purpose.
• Scrape, crawl, harvest, copy or extract Website content or data by automated means except as expressly permitted by us or by standard search-engine indexing that respects applicable directives.
• Use Website content to create a competing service, commercial database, model-training dataset or generative artificial-intelligence system without our prior written permission.
• Remove proprietary notices, circumvent technical controls or assist another person in prohibited conduct.

We may investigate suspected misuse and cooperate with authorities or service providers where legally appropriate.

6. Intellectual property

The Website and its original content—including text, frameworks, methods, graphics, photographs, videos, page designs, downloads, logos, trademarks and other materials—are owned by or licensed to Ingenium and are protected by copyright, trademark and other intellectual-property laws.

Subject to these Terms, Ingenium grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Website for your own internal informational and legitimate business purposes. No ownership rights are transferred.

Without prior written permission, you may not reproduce, republish, distribute, sell, sublicense, modify, publicly display, commercially exploit or create derivative works from Website content, except for limited quotations or uses permitted by applicable law with appropriate attribution. “Ingenium Global,” related names, logos and brand elements may not be used in a way that suggests endorsement, affiliation or sponsorship.

Materials delivered under an Engagement Agreement are governed by the intellectual-property provisions of that agreement, not by the Website license above.

7. Messages, submissions and confidentiality

When you submit an inquiry, you confirm that the information is accurate to the best of your knowledge and that you have authority to provide it. You authorize us to use the submission to respond, evaluate a potential relationship, operate our business and otherwise process it as described in our Privacy Policy.

The Website contact form and ordinary email are not intended for privileged, highly sensitive or confidential engagement information. Do not submit trade secrets, personal assessment materials, protected health information, material non-public information, account credentials or information belonging to another person unless an appropriate agreement and secure process are in place.

Receiving unsolicited information does not create a confidentiality obligation beyond obligations imposed by applicable law or expressly accepted by Ingenium in writing. Once an Engagement Agreement is in effect, confidentiality is governed by that agreement.

If you voluntarily provide general feedback or suggestions about the Website, you permit Ingenium to consider and use that feedback without compensation or restriction, provided we do not publicly identify you without permission.

8. Privacy, cookies and third-party services

Privacy

Our Privacy Policy explains how we collect, use, disclose and protect personal information. Our Cookie Policy provides additional information about cookies and similar technologies. These policies are incorporated into these Terms by reference where legally permitted.

Third-party websites and tools

The Website may link to social networks, publications, external resources or other third-party websites and may rely on third-party hosting, form, analytics or technology services. Links are provided for convenience and do not necessarily imply endorsement. We do not control third-party content, availability, security or privacy practices. Your use of a third-party service is governed by its own terms and policies.

9. Disclaimer of warranties

To the fullest extent permitted by law, the Website and its content are provided on an “as is” and “as available” basis. Ingenium disclaims all express, implied and statutory warranties relating to the Website, including warranties of accuracy, completeness, currency, merchantability, fitness for a particular purpose, title, non-infringement, security and uninterrupted availability.

We do not warrant that Website content will be suitable for your circumstances, that errors will be corrected immediately, that the Website will be free from harmful components or that use will achieve a particular result. Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.

10. Limitation of liability

To the fullest extent permitted by law, Ingenium and its owners, officers, employees, contractors and agents will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, opportunity, data, goodwill or business interruption, arising from or related to the Website or these Terms, even if advised that such damages were possible.

To the fullest extent permitted by law, Ingenium’s total aggregate liability arising solely from Website access or use will not exceed one hundred U.S. dollars (US $100). Liability relating to paid advisory services is governed by the applicable Engagement Agreement.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability arising from fraud, willful misconduct or other matters protected by mandatory law. Your local law may provide additional rights.

Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless Ingenium and its owners, officers, employees, contractors and agents from claims, losses, liabilities, damages, judgments and reasonable costs arising from your unlawful misuse of the Website, your violation of these Terms or your infringement of another person’s rights. This obligation does not apply to the extent a claim results from Ingenium’s own unlawful conduct.

11. Suspension and termination

We may restrict or terminate access to the Website if we reasonably believe you have violated these Terms, created a security or legal risk, interfered with the Website or used it unlawfully. You may stop using the Website at any time. Provisions that by their nature should survive termination—including intellectual property, disclaimers, liability, indemnification and governing law—will survive.

12. Governing law and disputes

These Terms and disputes arising from the Website are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where mandatory consumer law requires otherwise.

Before filing a claim, you and Ingenium agree to make a good-faith effort to resolve the matter informally for at least 30 days after written notice. If it cannot be resolved, and unless applicable law requires another forum, the state and federal courts located in Dallas County, Texas will have exclusive jurisdiction, and each party consents to venue there.

13. General terms

• Entire agreement. These Terms and incorporated policies are the entire agreement concerning Website use. Engagement Agreements separately govern client services.
• Severability. If a provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue.
• No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
• Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, transaction or transfer of the Website or business.
• Headings. Headings are for convenience and do not affect interpretation.
• Electronic communications. You agree that notices and communications delivered electronically may satisfy legal writing requirements, subject to applicable law.

14. Changes to these Terms

We may update these Terms to reflect changes in the Website, services, business practices or law. Revised Terms will be posted here with a new “Last updated” date. Material changes may be accompanied by additional notice where appropriate. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.
